Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Silkpad website, web application, desktop application, and related services (collectively, the "Service").
The Service is owned and operated by Swyft Media LLC, doing business as Swyft Labs ("Company", "we", "us", or "our"). Silkpad is a product published and operated by Swyft Media LLC under the Swyft Labs brand.
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.
These Terms work alongside our Privacy Policy and Refund Policy.
1. The service
Silkpad is a local-first Markdown editor available as a web application, desktop application, and optional cloud synchronization service.
By default, your notes are stored locally on your device. If you choose to enable synchronization features, your content may be stored and transmitted as described in our Privacy Policy.
2. Eligibility
You must be at least 13 years old, or the minimum age required to consent to digital services in your jurisdiction, to use the Service.
By using the Service, you represent and warrant that you satisfy these requirements and have the legal capacity to enter into these Terms.
3. Accounts and authentication
Certain features may require a Silkpad account. You agree to provide accurate and complete information and to keep your account credentials secure. You are responsible for all activity that occurs under your account.
Authentication and certain account-related services may be provided through third-party providers, including Supabase.
4. Plans, licenses, and billing
Silkpad may be offered through one or more paid or free plans, including web subscriptions, desktop licenses, synchronization subscriptions, and bundled offerings. Current pricing and plan details are displayed on our website and may be updated from time to time.
Payments
Payments are processed by Paddle, which acts as the authorized reseller for transactions involving Silkpad. By completing a purchase, you also agree to Paddle's applicable terms, policies, and checkout requirements. We do not store your complete payment card information.
Subscriptions
Subscription plans automatically renew unless canceled before the renewal date. You may cancel a subscription at any time. Cancellation will take effect at the end of the current billing period and will prevent future renewals.
Refunds
Refunds are governed by our Refund Policy and Paddle's Refund Policy. To request a refund, contact Paddle directly at paddle.net.
5. License to use the service
Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service. This license is provided solely for your own lawful use of Silkpad.
6. Acceptable use
You agree not to:
Resell, sublicense, rent, lease, or distribute the Service without our written permission.
Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code except where permitted by law.
Circumvent licensing, billing, authentication, or security mechanisms.
Use the Service in violation of any applicable law or regulation.
Infringe the rights of others.
Interfere with or disrupt the operation of the Service or related infrastructure.
Attempt to gain unauthorized access to systems, accounts, or networks.
7. Your content
You retain ownership of all content you create, upload, store, or synchronize through the Service. We do not claim ownership of your notes or content.
Where synchronization or cloud features are enabled, you grant us a limited license necessary to host, transmit, process, back up, and synchronize your content solely for the purpose of providing the Service.
You are solely responsible for your content and for ensuring that you have all rights necessary to use and synchronize it.
8. Intellectual property
The Service, including its software, design, interface, branding, trademarks, logos, documentation, and related materials, is owned by Swyft Media LLC or its licensors and is protected by applicable intellectual property laws.
"Silkpad," "Swyft Labs," and "Swyft Media LLC" are protected names and trademarks and may not be used without prior written permission.
Except as expressly granted in these Terms, no rights are transferred to you.
9. Third-party services
The Service may rely on third-party providers, including Paddle, Supabase, hosting providers, analytics providers, and other service providers. Your use of third-party services may be governed by their respective terms and privacy policies. We are not responsible for third-party products, services, or practices.
10. Disclaimer of warranties
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, reliability, and accuracy.
We do not guarantee that the Service will be uninterrupted, secure, error-free, or free from harmful components.
11. Limitation of liability
To the maximum extent permitted by law, Swyft Media LLC, its affiliates, officers, employees, contractors, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. This includes damages relating to loss of profits, revenue, goodwill, business opportunities, data, or use.
To the extent permitted by law, our total aggregate liability arising out of or relating to the Service shall not exceed the amount paid by you to us for the Service during the twelve (12) months preceding the event giving rise to the claim.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access to the Service if you violate these Terms, we reasonably suspect fraud, abuse, or unlawful activity, or continued access creates legal, operational, or security risks.
Upon termination, your right to access and use the Service will end immediately. Sections that by their nature should survive termination will continue to remain in effect.
13. Changes to these terms
We may update these Terms from time to time. When material changes are made, we will update the "Last Updated" date above and may provide additional notice where appropriate. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.
14. Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict-of-law principles.
